alright so i have an intel core i5 650 3.20 ghz (stock) it's a 2 core 4 thread
and i was planning on upgrading my graphics card instead of buying a new pc
my current gfx card is a piece of shit 9400 GT
if i upgrade to a 760 gtx or it's amd equivalent will it's performance be bottle necked by my processor ?
if it will will over clocking my processor negate the bottle neck ?

You should be fine. I have a Intel core i3-2105 @ 3.10GHz and used to have a geforce 8600 GT which was crap. Just recently I changed to a GT 640 which improved my games performance by A LOT and nothing's gone wrong apart from the bugs my pc usually has. I'll probly be getting a new pc as a whole soon. :>
yeah i know i wont have issues i just dont know if the processor can utilize the card to it's maximum potential
i was gunna go for a 660 gt but for some reason the 760 is cheaper
